Some foreign parents assume a wholly-owned Ltda. doesn't need the Art. 1078 meeting since there's no other partner to answer to. It's still required, and its absence surfaces during due diligence, bank KYC refreshes, or litigation, exactly when it's most costly to fix retroactively.
If the attorney-in-fact's mandate isn't clearly scoped as a limited proxy, it can read as a management contract, exposing that person to personal labor or tax liability. And if the POA lapses entirely, RFB can suspend the CNPJ, disrupting everything the company does.
These are two separate obligations tracking the same underlying ownership. A capital change reported to the Central Bank for FX purposes still needs its own filing at the Junta Comercial to keep the contrato social in sync, and companies commonly do one and forget the other.
